Terms of Service

These Terms of Service ("Terms") govern your access to and use of Colanode websites, products, and services (collectively, the "Service"). By using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

Scope

• Website: colanode.com and subdomains.
• Colanode Cloud: our hosted service at app.colanode.com.
• Self‑hosted Colanode: software you deploy and operate on your own infrastructure.

Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to accept these Terms.

Accounts and security

• You are responsible for the information associated with your account and for all activities that occur under it.
• Keep your credentials confidential and use strong, unique passwords or SSO.
• Notify us immediately of any suspected unauthorized use or security incident.

Your content

You retain ownership of the content you submit to the Service ("Customer Content"). You grant Colanode a limited, worldwide, non‑exclusive license to host, process, transmit, display, and back up Customer Content solely to provide and improve the Service, and as otherwise permitted by you.

Acceptable use

• Do not use the Service to violate any law or infringe rights (including IP, privacy, or data protection laws).
• Do not upload malicious code, attempt to gain unauthorized access, or disrupt the integrity or performance of the Service.
• Do not use the Service to store or transmit sensitive personal data unless configured appropriately and permitted by applicable law.
• Do not use the Service for spam, phishing, or abusive behavior.

Software license (self‑hosted)

Colanode software is open‑source and provided under the applicable open‑source license included with the code (e.g., Apache‑2.0). Subject to that license, you may self‑host, modify, and redistribute the software. These Terms apply to our websites and hosted services; the open‑source license governs your use of the software itself.

Hosted Service (Cloud)

• We provide the Service as‑is and as available, with reasonable efforts to ensure uptime and security.
• We may update or modify features; material changes will be communicated where appropriate.
• You are responsible for configuring roles, permissions, and data retention according to your needs.

Fees and billing

• Paid plans are billed in advance on a subscription basis unless stated otherwise.
• Taxes may be added as required by law. You authorize our payment processor to charge your payment method.
• Except where required by law, fees are non‑refundable. You may cancel at any time; access continues until the end of the billing period.

Privacy

Our Privacy Policy explains how we collect and use information. By using the Service, you also agree to the Privacy Policy.

Third‑party services

The Service may integrate with third‑party services. Your use of third‑party services is governed by their terms and policies. We are not responsible for third‑party services.

Intellectual property

Colanode and its licensors retain all rights, title, and interest in and to the Service, including software, documentation, trademarks, and brands. These Terms do not grant you any rights to our trademarks or other IP except as expressly permitted.

Feedback

If you provide feedback or suggestions, you grant us a non‑exclusive, worldwide, royalty‑free license to use, modify, and incorporate it without restriction.

Beta and experimental features

We may offer preview, beta, or experimental features. They are provided "as‑is" without warranties and may be changed or discontinued at any time.

Termination

• You may stop using the Service at any time. You can export your data where available.
• We may suspend or terminate access if you materially breach these Terms or pose a security risk.
• Upon termination, your right to access the Service ends. Sections that by their nature should survive will survive (e.g., IP, disclaimers, liability, indemnity).

Disclaimers

To the maximum extent permitted by law, the Service is provided "as‑is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

Limitation of liability

To the maximum extent permitted by law, Colanode and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption, arising from or related to your use of the Service. Our aggregate liability for claims relating to the Service will not exceed the amounts paid by you to Colanode for the Service in the 12 months preceding the claim.

Indemnification

You will indemnify and hold harmless Colanode and its affiliates from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

Changes to the Service and Terms

We may modify the Service and these Terms. If we make material changes, we will provide reasonable notice (e.g., via email or in‑app). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law; venue

These Terms are governed by the laws applicable in your place of business or residence unless a different governing law is required by mandatory consumer‑protection law. Any disputes will be resolved in the courts having jurisdiction in that venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Export compliance

You agree to comply with all applicable export and sanctions laws and regulations and not to use the Service in restricted jurisdictions or for prohibited purposes.
